Terms of Service & Acceptable Use Policy

1. Agreement to Terms

By accessing or using MemoryBriefcase ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service. We may update these terms from time to time; continued use of the Service constitutes acceptance of the revised terms.

2. Service Description

MemoryBriefcase is a personal memory layer that stores structured context (called "briefcases") and makes it available to AI assistants and other tools via a REST API, MCP server, and web dashboard. The Service lets you create, manage, and share briefcases containing key-value memory items. Free accounts are subject to storage and briefcase count limits as described in our pricing page.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in ways that do not infringe the rights of others. The following activities are strictly prohibited:

  • Illegal activity: Using the Service to store, transmit, or facilitate any content or activity that violates applicable law, including but not limited to laws relating to data privacy, intellectual property, export control, fraud, or child protection.
  • Harassment & abuse: Uploading, storing, or sharing content that harasses, threatens, defames, or discriminates against any individual or group based on protected characteristics.
  • Unauthorized scraping: Systematically scraping, crawling, or extracting data from the Service through automated means beyond your own account data, or using the API in ways that place disproportionate load on our infrastructure.
  • Account abuse: Creating multiple accounts to circumvent plan limits, sharing account credentials, or impersonating others.
  • Malicious content: Storing malware, viruses, exploits, or any code designed to damage, disrupt, or gain unauthorized access to systems.

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

4. AI Provider Data Disclosure

Important notice about third-party AI services

By using the AI provider integrations, you acknowledge that your briefcase context is transmitted to third-party AI services (OpenAI, Anthropic, Google, Perplexity). Review their respective privacy policies.

The Service offers integrations with third-party AI platforms including OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), and Perplexity. When you use these integrations — for example, by clicking "Open in ChatGPT" or connecting via MCP — the contents of the selected briefcase are transmitted to that third-party service to provide context for your AI session.

We are not responsible for how third-party AI providers process, store, or use data received through these integrations. Each provider operates under its own privacy policy and terms of service:

  • OpenAI — openai.com/policies/privacy-policy
  • Anthropic — anthropic.com/legal/privacy
  • Google — policies.google.com/privacy
  • Perplexity — perplexity.ai/privacy

You are solely responsible for ensuring the data you store in briefcases is appropriate for transmission to these third-party services.

5. Data Retention

Your briefcase data and memory content are retained for as long as your account remains active. We may delete data associated with accounts that have been inactive for more than 24 months following reasonable prior notice by email.

If you delete your account, all associated data — including briefcases, memory items, session tokens, and personal information — will be permanently deleted within 30 days of account deletion. During this period the data is inaccessible and scheduled for removal. This process is irreversible; we cannot recover deleted account data after the 30-day window has elapsed.

6. Intellectual Property

You retain full ownership of all content you store in the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit your content solely to provide the Service to you.

The MemoryBriefcase platform, including its software, design, trademarks, and documentation, is owned by us and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of our platform without our express written permission.

7. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these terms or the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim, or ₹1,000 INR, whichever is greater.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in India. If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
